Miller & Chevalier Chartered has announced that Robert S. Kirschenbaum has joined the Tax Department as a Member. He comes to the firm from Baker & McKenzie LLP, where he was a partner in that firm’s Transfer Pricing group.

Kirschenbaum is a recognized legal authority in the area of transfer pricing strategy and planning, and related tax controversy resolution. He represents U.S. and foreign-based multinational companies in a wide variety of industry sectors, including software, semiconductor, pharmaceutical, defense, financial services, and retail. A significant part of Kirschenbaum’s practice involves advising high-tech companies based in Silicon Valley. Miller & Chevalier has a long history of advising companies on the West Coast in the tax, employee benefits, litigation, and international trade areas. With the addition of Kirschenbaum and in light of the continued growth of Miller & Chevalier’s client base on the West Coast, the firm is establishing a presence in Palo Alto to provide enhanced service to these clients.

“We are so pleased to welcome Bob Kirschenbaum to the firm,” said Marianna Dyson, Chair, Miller & Chevalier. “He brings a wealth of significant government, industry and private practice experience in the transfer pricing area that will greatly benefit our multinational clients.”

Before joining Baker & McKenzie, Kirschenbaum was Team Leader for the Advance Pricing Agreement (APA) Program of the Internal Revenue Service (IRS). At APA, he was Japan Case Coordinator for the IRS Competent Authority negotiations and was responsible for negotiating and consummating approximately 40 unilateral and bilateral APAs.

“Transfer pricing is one of the most significant issues currently facing global enterprises,” said Patricia Sweeney, Chair of Miller & Chevalier’s Tax Department. “Bob is a recognized leader in the field and has an established reputation for his work helping companies to plan and defend their transfer pricing strategies, while structuring their businesses in a tax-efficient manner. In addition, he shares our commitment to exceptional client service, providing practical advice to meet client needs. Bob will be a valuable addition to our skilled team, which includes lawyers who have both senior government and private practice experience navigating complex matters in the international tax area.”

Transfer pricing presents challenging high-stakes tax issues and planning opportunities for multinationals today and is a critical component of proactively managing global tax obligations. It is also an area of intense focus by U.S. and foreign tax authorities, and significant disputes can arise. Some disputes can be prevented through careful planning or through APAs with one or more tax authorities, while others can be resolved through effective negotiation with taxing authorities and the mutual agreement process under tax treaties. Kirschenbaum has extensive experience assisting multinational companies in designing and implementing transfer pricing strategies and in resolving disputes proactively. His prior government experience serves him well in dealing with taxing authorities around the world.

CMS Albinana & Suarez de Lezo has announced the integration of a team of professionals headed by tax law and tax-procedural specialist [private]Felipe Alonso from the Madrid office of the international law firm Baker & McKenzie. With this
incorporation, CMS Albinana & Suarez de Lezo will reinforce its current team and give a strong strategic boost to its tax department.

Felipe Alonso will join the firm in September 2009 as managing partner of the Tax Department of CMS Albinana & Suarez de Lezo, working in coordination with Santiago Diez and a team comprising of 16 professionals between the Madrid, Seville and Marbella offices.

For the new managing partner, the integration in CMS Albinana & Suarez de Lezo will become a new phase and a new challenge after his experience of almost a decade in the international firm Baker & McKenzie in which he has worked during the last nine years.

Felipe Alonso possesses a wide experience in taxation. Among other acknowledgments, he is listed in The European Legal 500 and the Chambers Global, where he is recognised as “a tax expert providing high quality advice in procedures regarding procedural tax law”. Alonso is a Tax Inspector currently on leave of absence (1989) and has performed the position as general sub director of legal ordinance and legal assistance to the Spanish General Directorate for Tax
Inspection and Treasury Department.

“Personally it is an enormous satisfaction to form part of CMS Albinana & Suarez of Lezo, where we will contribute a strategic impulse to the area of taxation and, more concretely, to that of tax litigation, in a moment in which the business requires a greater specialization in a context of increase in the activity”, underlines Felipe Alonso.

For Cesar Albinana Cilveti, managing partner of CMS Albinana & Suarez of Lezo “for us it is a great pride to include Felipe Alonso and his group of professionals because they are the best option for our office; with him we incorporate a magnificent, highly qualified team with great experience and capacity to give our future and current clients more complete, in-depth advice”.

CMS Albinana & Suarez de Lezo in figures. In 2008, CMS Albinana & Suarez de Lezo invoiced EUR 19.65 million in transactions, which represents an 11.6% increase compared to the previous year, and shows the firm’s growth tendency in a year that was marked by economic difficulties.

The firm, led by Rafael Suarez de Lezo and Cesar Albinana Cilveti, is currently comprised of 80 attorneys, 18 partners, and –since 2005- is a member of CMS, the international organisation of the major European law firms, and the most important independent network in Europe. [/private]

John C. Klotsche, a private sector tax litigator and former Senior Advisor to the IRS Commissioner, is joining the Washington, D.C. law firm Caplin & Drysdale as a Member. Mr. Klotsche will join the firm’s Tax Controversy practice group and will spearhead the launch of a new practice area, ADRTax, specializing in Alternative Dispute Resolution of tax matters.

“We are thrilled to have John join our tax group. He brings deep experience from the private sector specializing in high profile federal tax controversy matters, followed by his involvement in major public sector tax enforcement matters,” said Scott D. Michel, firm President. “His blend of private and public experience in the field of tax controversy and enforcement provides a unique platform to lead the way in building a tax-focused ADR practice, and we are excited to have him bring innovative thinking and expertise to our clients.”

Mr. Klotsche practiced for three decades with the international law firm Baker & McKenzie specializing in international tax controversy matters and served as counsel in landmark cases involving cross-border transfer pricing and a broad range of other international and domestic federal tax disputes. Mr. Klotsche concluded his career with Baker & McKenzie by serving for five years as full-time Chairman of its Executive Committee.

Mr. Klotsche then served 3-1/2 years as Senior Advisor to Mark Everson, the Commissioner of Internal Revenue Service. There he oversaw the Agency’s enforcement efforts to combat abusive tax shelters, which involved developing global settlement initiatives to resolve widespread, large-tax dollar abusive transactions; legislative solutions for submission to the Congressional tax writing Committees; protocols to allow simultaneous criminal and civil investigations and examinations of tax shelter matters; and civil and criminal enforcement tools to combat unethical and unprofessional activities of promoters of abusive tax shelters and their tax professionals.

Most recently, Mr. Klotsche served for one year as Senior International Advisor to the IRS Commissioner where he was the U.S. delegate and a member of the project team on the OECD Tax Intermediaries Project. This initiative examined the role of tax intermediaries (i.e., law and accounting firms, other tax advisors, and financial institutions) within tax systems and their impact on tax administration and enforcement. The Project’s overarching objective was to identify strategies for enhancing the relationships between tax intermediaries, corporate taxpayers, and revenue bodies, and the team’s recommendations were unanimously endorsed by the Commissioners of 45 participating countries in January 2008.

“Caplin & Drysdale has, over many years, built an exceptional national reputation as trusted tax advisors,” said Mr. Klotsche, “and I am pleased and excited to join their team. I believe the corporate tax community is anxious to move in a new direction and to a new business model to resolve tax disputes. Caplin & Drysdale will provide an outstanding platform to build a specialized ADRTax practice.”

Miller & Chevalier Chartered today announced that George M. Clarke, III has joined the firm’s Litigation and Tax practices as a Member. Clarke joins the firm from Baker & McKenzie where he practiced in that firm’s Washington, DC office.

The addition of Clarke is a reflection of the firm’s ongoing strategy of expanding its core practices to meet the increasingly complex and multi-dimensional needs of its U.S. and international-based clients. Clarke brings significant experience in areas critical to companies navigating the changing world of finance and investment, including tax, white collar litigation and FCPA compliance and investigations. Among other areas of focus, he will play a strategic role in continuing to expand the firm’s criminal tax capability.

Clarke has a strong background in tax controversy, as well as experience in criminal tax matters, application of FIN 48, foreign tax credits, summons enforcement matters, tax-advantaged transactions defense, TEFRA partnership issues, transfer pricing, transferee liability, federal excise taxes, and financial instrument taxation. In addition, he has handled representations involving FCPA anti-bribery and “books and records” violations, as well as Pasquantino and other wire fraud matters. He is particularly experienced with the application and defense of the attorney-client and attorney work product privileges.

“George adds a critical dimension to our White Collar and Tax litigation practices by bringing added depth in the criminal tax area,” said James A. Bensfield, the head of Miller & Chevalier’s White Collar practice. “In addition, his CPA and accounting background will be of great value as he advises clients on issues related to financial statements and tax records that often come up in the course of FCPA investigations and corporate criminal matters.”

Added Marianna G. Dyson, Chair of Miller & Chevalier: “George’s arrival is the latest step in our continuing focus of expanding our core practice offerings to help clients navigate the changing business landscape. His experience bridges the tax and litigation areas in ways that will provide critical synergistic benefits to our clients. In addition, as a firm with a practice and client base that are global in scope, George’s significant international corporate tax and FCPA experience will be of great value.”

Renowned Tax and Litigation Practices

Since its founding, Miller & Chevalier has been at the forefront of the evolution of tax law and policy, through the breadth of its practice; the experience and positions its lawyers have held in government and the tax bar; and the results they have achieved for their clients. The practice includes former: Commissioner, Internal Revenue Service (IRS); Deputy Chief Counsel (Operations), IRS; Deputy Associate Chief Counsel (Litigation), IRS; Assistant to the Commissioner, IRS; Tax Legislative Counsel, Department of the Treasury; Deputy Tax Legislative Counsel, Department of the Treasury; Associate International Tax Counsel, Department of the Treasury; Majority Tax Counsel to the Committee on Ways and Means, U.S. House of Representatives; Assistant Chief of Staff, Joint Committee on Taxation; Associate Chief Counsel (Income Tax and Accounting), IRS; Special Assistant for Fringe Benefits, Associate Chief Counsel, IRS; Attorney, Office of Chief Counsel, IRS, Tax Exempt and Government Entities (TEGE); and Tax Assistant, Department of Justice. Firm lawyers handle the full spectrum of tax matters for clients, ranging from resolving tax controversies before the Internal Revenue Service and the courts, to providing planning and consulting services, to working on legislative amendments, regulation projects, and other tax policy matters.

One of the key strengths of Miller & Chevalier’s litigation practice is its combination of extensive trial experience in civil and criminal cases, both jury and non-jury, with deep substantive expertise in core specialties, including tax, white collar crime and internal investigations, ERISA, False Claims Act and qui tam cases, IP litigation under Section 337, and complex commercial litigation. The firm’s litigators have appeared before more than 25 different federal agencies, many state courts, the vast majority of the federal trial courts in the country, every federal court of appeals, the International Trade Commission, and the United States Supreme Court.

The White Collar/Internal Investigations practice often operates at the intersection of international business and domestic enforcement of U.S. laws and maintains tremendous experience in investigations and fact-gathering around the world. The Internal Investigations practice is particularly integrated with the firm’s International Department, where the two collaborate to conduct multi-disciplinary investigations under the Foreign Corrupt Practices Act and the Export Controls statutory and regulatory regimes.

“Miller & Chevalier’s platform is ideal for my practice focus,” said Clarke. “The firm has recognized and long-standing practices in the tax, litigation and FCPA areas, and because of the constantly changing business and regulatory environment, there is a real benefit to clients of being able to access deep expertise in all three areas from one firm in a synergistic way. In addition, I was attracted to the entrepreneurial environment and the firm’s demonstrated commitment to the highest level of client service.”

About George Clarke

Clarke focuses his practice on tax litigation, white collar crime and FCPA matters. He is a Certified Public Accountant and prior to working at Baker & McKenzie, was a Senior Accountant at Telephone and Data Systems and a Tax Accountant at McGladrey & Pullen LLP. Clarke served on active duty as an enlisted United States Marine from 1988-1992 and received a variety of commendations and citations during his service.

Clarke has spoken before numerous business organizations, and his articles have appeared in publications, including The Tax Executive, World Corporate Finance Review and an upcoming issue of The International Lawyer.

Clarke earned a B.S. in Accounting magna cum laude from Edgewood College and a J.D. magna cum laude from Georgetown University Law Center. He received the Sewall Key Award and was a member of the Order of the Coif.

About Miller & Chevalier

Baker & McKenzie GJBJ Tokyo Aoyama Aoki Koma Law Office (Gaikokuho Joint Enterprise) announced today that Ken Okawara has joined the Tokyo office as Head of Transfer Pricing and Economic Analysis. A team of tax professionals (zeirishi) and economists will also follow to the Tokyo office as members of the Global Transfer Pricing Practice and Economics Group.

The new group joins the Firm’s well-established Transfer Pricing and Economics Group. They will team with tax advisors and economists in the Firm’s Global Tax Practice to provide comprehensive economic and valuation services in connection with transfer pricing planning, documentation and controversy resolution and other international tax planning matters involving similar economic issues.

Jeremy Pitts, Managing Partner, Tokyo said: “We are very excited about the prospect of Ken Okawara and his team joining us. With changes to the Japanese transfer pricing rules proposed in the next year or two, and the increasing focus on transfer pricing issues in many Asian jurisdictions in which Japanese companies own businesses, we believe that the time is right to expand this practice.”

John Peterson, Chair of Baker & McKenzie’s Global Tax Practice Group, said: “Transfer pricing has evolved from primarily a U.S. practice to a truly global one. Japan is one of the world’s largest economies, and a good understanding of transfer pricing regulatory requirements is crucial for multinationals managing their tax risks and tax costs when doing business in Japan.”

“The additions of Ken Okawara and the team of tax professionals and economists expands our already strong tax capabilities in Japan, and strategically positions the Firm to provide a complete suite of tax and economic services to our clients. We are confident that they will be able to work seamlessly with our team of tax lawyers and economists around the world and offer our clients effective and commercially viable tax solutions that adopt global best practices while complying with Japan’s local tax rules,” Peterson continued.

Dr. Ken Okawara joins from Shin-Nihon Ernst & Young where he served as a senior partner and headed the firm’s transfer pricing practice in Japan, responsible for Advanced Pricing Agreements (APA), Competent Authority (CA) assistance, audit defense, transfer pricing planning and tax effective supply chain management. Prior to that, he served as a Partner of Advisory Group of Strategy for International Transactions at Arthur Andersen. He has extensive experience representing Japanese and international clients in negotiations with the tax authorities of Japan and other countries and has helped clients to obtain resolution of transfer pricing disputes at bilateral and multilateral competent authority proceedings.

A recognized authority on transfer pricing and international tax issues, Ken Okawara is a regular guest speaker at international tax and transfer pricing conferences in Japan and overseas. He is also the author of several acclaimed titles and a regular contributor to various tax journals and books, including “Global Strategies for Intra-group Transactions”, “Global Tax Management Theories and Techniques”, “Management of Tax Costs”, and “Strategic Management of Tax Costs and Risks”. He lectures on international tax and theory at Gakushuin University.

Dr. Okawara received his BA in Management in 1984, and his Master of Economics (International Economics) summa cum laude in 1986, both from Gakushuin University. In 1988, he earned his Master of International Affairs (International Economics) from Columbia University and his Ph.D. in Policy Studies (Tax Policy) from Chiba University of Commerce.

Over the last couple of years, Baker & McKenzie has significantly added to its economic capability with additions in the U.S., London, Dussledorf and Shanghai offices. There are more than 50 practitioners in the Firm’s Economics Group worldwide.

Baker & McKenzie has announced that it will be expanding its transfer pricing capabilities in China by entering into an exclusive alliance with TP Management Consulting Limited (TPMC) headquartered in Shanghai. Commenting on the alliance, Michael Olesnicky, who leads Baker & McKenzie’s tax practice in Greater China, noted that transfer pricing has become a major source of controversy in China and internationally with tax authorities increasingly competing with each other for tax dollars. Michael went on to note that “The New Income Tax Law passed this year by the NPC devotes an entire chapter to transfer pricing signalling China’s focus on this matter. We feel that China’s transfer pricing market has evolved to the point where world-class methodologies and water-tight advice are needed to deal with local concerns and with the potential exposure to double taxation.”

TPMC will be headed by Dr. Glenn DeSouza, Ph.D., an economist from the United States, who created and lead the transfer pricing practice in China at a Big 4 firm. Glenn came to China in 1999 and has pioneered many developments from APAs, to core documentation, to China-specific benchmarking. He has been consulted by the State Administration of Taxation (”SAT”) on such matters as the forthcoming documentation requirement. Bringing depth and balance to TPMC are other acknowledged experts such as a senior government official who was in the first batch to specialize in transfer pricing / APAs and Qian Min, a certified tax agent, engineer and CPA, whose clients include many of the largest investors in China.

Commenting on the alliance, Glenn said, “I was the first TP expert in China and have seen our specialty grow but frankly there are still some unmet needs at the top of the market which this alliance will meet. From the standpoint of quality and innovation, Baker & McKenzie is the leader in every TP market in which it elects to participate. Glenn admitted that “At TPMC we do not want to be all things to all people. Our goal is to provide the best quality solutions in those areas where we believe we can bring special value. One obvious area is world-class planning and another area is in documentation, which will soon be mandated in China. Documentation is, to put it bluntly, an enormous compliance burden, and perhaps surprisingly for an adviser, we believe that the clients should bring this process in-house. We believe that the client must be in a position to manage, explain and sustain the results at the end of the process and as professional advisers our role, should be limited to providing expertise and technology that empowers the client to take ownership of the documentation process.”

David Fleming, Managing Partner of the Hong Kong, China and Vietnam offices, said, “This strategic alliance further expands our “on-the-ground” transfer pricing and tax capabilities in China and allows us to provide dedicated service to our clients. China’s economic development and prominence in international trade has led to a dramatic growth in the integration of global operations by companies and we are pleased to be able to extend our service to our clients in this complex and demanding arena.”
