<p><strong>[private]</strong>McGuireWoods LLP announced yesterday that it has signed a formal agreement to  combine with the London-based international law firm of <a href="http://www.gmrlaw.com/" target="_blank">Grundberg Mocatta Rakison LLP</a> (GMR). The  agreement is expected to become final May 1, 2009, subject to the necessary  approvals of both firms’ partners. The London practice will operate under the  McGuireWoods name.</p>
<p>Today’s announcement greatly enhances McGuireWoods’ international  capabilities, and allows the firm to better serve clients with matters requiring  an international presence, including corporate and financial transactional work,  as well as litigation and wealth management matters. In addition, this  combination will allow the firm to offer GMR’s existing international client  base its capabilities to handle matters throughout the United States and in the  other countries where McGuireWoods has offices. McGuireWoods’ clients will also  have access to GMR’s international network.</p>
<p>Once the transaction is complete, the 36 attorneys and all other staff of GMR  will become McGuireWoods LLP. <a href="http://www.gmrlaw.com/team/profile/Anders-Grundberg/" target="_blank"> Anders Grundberg</a>, senior partner and founder of GMR, will assume the title  of managing partner of the McGuireWoods London office, and under the terms of  the agreement, McGuireWoods will expand its Board of Partners to include <a href="http://www.gmrlaw.com/team/profile/Robert-Rakison/" target="_blank"> Robert Rakison</a>, a partner with GMR. In addition, select partners in London  will become part of McGuireWoods’ committee structure. Former McGuireWoods  managing partner <a href="http://www.mcguirewoods.com/lawyers/index/William_J_Strickland.asp"> Bill Strickland</a> will divide his time between the London and Brussels  offices; and <a href="http://www.mcguirewoods.com/lawyers/index/Peter_J_Covington.asp">Peter  Covington</a>, vice chairman of McGuireWoods, will relocate to London. In  addition, <a href="http://www.gmrlaw.com/team/profile/Walter-H-White/" target="_blank"> Walter White, Jr.</a> of GMR will head the emerging markets practice and  maintain offices in London and Washington, D.C.</p>

<p>In his previous role as Chief Restructuring Officer, Dan led the       Scottish Re transition program focused on operational effectiveness and       has been a member of the Scottish Re Executive Committee. Prior to       joining Scottish Re in May 2007, Dan worked with Cerberus Capital       Management L.P. on its operations team focused on financial and       operational due diligence in the insurance, financial services, media,       and information technology industries. His previous experience includes       10 years with the General Electric Company. Dan served as the Manager of       Finance for GE Money&#8217;s personal loan business in Japan and also led GE       Money&#8217;s global capital allocation program in Stamford, CT. Prior to       that, Dan spent four years in GE&#8217;s Corporate Audit Staff, concluding as       a Senior Audit Manager leading teams responsible for financial and       operational reviews of GE&#8217;s businesses in North America and Asia.</p>
<p>Dan received a BS in Management Information Systems from the University       of Dayton&#8217;sSchool of Business Administration.</p>

Rabitz has joined Stroock&#8217;s Employee Benefits and Executive Compensation Group as Partner today. Before joining Stroock, Mr. Rabitz <strong>[private]</strong> led the ERISA, executive compensation and benefits legal function at Lehman Brothers as Senior Vice President and Senior ERISA &amp; Benefits Counsel, and most recently, served at Barclays Capital in a similar substantive capacity. Prior to Lehman, Mr. Rabitz worked at Goldman Sachs from 2000 through 2006 first as Assistant General Counsel and then as Associate General Counsel. <p>Strutz succeeds Klaus Rosenfeld, who left the Board of Managing Directors of Dresdner Bank as agreed on 17 March 2009. On being appointed to the Board of Managing Directors, Strutz resigned as a member of the Supervisory Board of Dresdner Bank. He will be succeeded in this capacity by Jochen Klösges.</p>

<p><strong>[private]</strong>Alan T. Yoshitake, who leads the team, joins the firm as a partner in the Trusts &amp; Estates Practice Group. Yoshitake is joined by Mark T. Hansen and Edward J. McCaffery, Of Counsel. Two associates will also be joining the group. All of the attorneys were previously practicing in the Los Angeles office of Sonnenschein, Nath &amp; Rosenthal LLP.</p>

<p><strong>Alan T. Yoshitake</strong> (Partner) focuses on tax issues involving sophisticated estate planning, charitable organization, business and financial planning, privately owned business and income tax planning for individuals. During his years of practice in the Los Angeles area, he has provided advice regarding sophisticated planning techniques including estate and wealth transfers, charitable gift planning, private foundation and charitable entity creation and organization, management and shareholder relationships in closely held businesses, business ownership arrangements for succeeding generation of family owners, retirement income tax planning and complex fiduciary income tax matters, as well as business tax, estate tax and probate administration. Combined with his sophisticated planning practice, Yoshitake extensively litigates and has served as an expert witness over the same areas of law. He is regularly in Court removing and defending fiduciaries, resolving disputes between trustees and beneficiaries and protecting the elderly from being financially abused. He also practices in the area of federal, state and local taxation and represents clients before the Internal Revenue Service, U.S. Tax Court, the California State Board of Equalization and the California Franchise Tax Board. Yoshitake earned his B.S. from the University of Southern California; his J.D. from Southwestern University Law School; and his LL.M. in Taxation from the New York University School of Law. He is admitted to the state bars of California and Hawaii, the United States Supreme Court, the United States District Court, the United States Tax Court, the California Supreme Court and the Supreme Court of Hawaii.</p>
<p><strong>Mark T. Hansen </strong>(Of Counsel) has a broad range of litigation experience covering trusts and estates disputes, complex commercial disputes, breach of contract actions, products liability suits, lender liability cases, intellectual property actions, government contract suits, and wrongful termination actions. He has conducted or supervised cases in state and federal courts throughout the country, and has represented a wide variety of clients. In recent years, Hansen has handled a considerable number of cases involving alleged breaches of fiduciary duties and probate related issues. In addition, he has successfully arbitrated a wide variety of cases in recent years, and he has been involved in the use of other alternative dispute resolution techniques, including mediation. Hansen received his B.S. in Economics from Santa Clara University and his J.D. from the University of California Hastings College of the Law. He is a member of the American Bar Association&#8217;s Torts and Insurance Practice Section, the California State Bar Association&#8217;s Litigation Section, the Los Angeles County Bar Association&#8217;s Litigation Section, and the Association of Business Trial Lawyers. He is admitted to practice law in California.</p>
<p><strong>Edward J. McCaffery</strong> (Of Counsel) practices in the areas of trusts and estates, taxation and intellectual property. In addition to his practice, he is also the former Dean and Carl Mason Franklin Chair in Law at the University of Southern California School of Law, where he teaches classes in income taxation, property, corporate tax and partnership tax. From 1995 to 2006, McCaffery was also a Visiting Professor of Law and Economics at the California Institute of Technology, teaching public finance and law, law and economics, and law and technology (including intellectual property law). He served as chairman of the planning committee for the prestigious annual USC Institute on Federal Taxation from 1997 until 2006; he was the founder of the USC-Caltech Center for the Study of Law and Politics, and chair of the Program for Law &amp; Technology at Caltech and Loyola Law School. He is a member of the planning committee for the newly formed Institute on Intellectual Property Law at USC Law School. He has been a visiting professor at UCLA School of Law and Yale Law School. McCaffery initiated a Law &amp; Technology program at the California Institute of Technology, where he has taught the course in intellectual property, which centers on the patent system. He is also a charter member of the USC Intellectual Property Institute, the leading continuing education forum for intellectual property practitioners in Southern California. McCaffery serves on the Patent Prosecution Subcommittee of the Institute. He has written or co-authored several books and numerous articles, testified before Congress, and made many scholarly presentations and public lectures. McCaffery earned his B.A. (summa cum laude) from Yale College; his J.D. (magna cum laude) from Harvard Law School; and his M.A. in Economic from the University of Southern California. His work, both in the U.S. and with respect to cross-border and international benefit matters involving domestic and non-U.S. multinationals, has led him to write and lecture extensively on employee benefit topics relating to mergers, acquisitions and joint ventures, pension plan investments, fiduciary laws and executive compensation. He has lectured in Africa, Asia, Europe and South America on cross-border subjects such as global equity compensation programs, internationalizing the ESOP, benefit aspects of U.S. joint ventures and the globalization of defined contribution plans. A significant part of his practice involves the special tax and ERISA rules that apply to tax-exempt, nonprofit organizations. In his practice, Schwartz regularly designs and implements “top-hat” plans, non-qualified deferred compensation arrangements, and severance plans developed in connection with reductions-in-force. Schwartz also advises clients with respect to tax-qualified plans, and has significant experience negotiating and resolving tax-qualification defects, fiduciary breaches, and delinquent filing issues under the Internal Revenue Service and Department of Labor voluntary compliance programs. Additionally, he advises employers on employee benefit implications of corporate affiliations, particularly in the health care industry, such as affiliations among hospitals, physicians and management service organizations. Schwartz also counsels clients on corporate matters relating to tax-exempt and nonprofit organizations. <p><strong>[private]</strong>“This is a much deserved recognition for Jacques Stern, whose role and influence in the financial community has been beneficial to the Group for more than ten years now,” said Gilles Pe?lisson.</p>
<p>Jacques Stern is a graduate of the E?cole Supe?rieure de Commerce de Lille and a certified chartered accountant. After beginning his career with Pricewaterhouse as an auditor, he joined Accor in 1992 as Consolidation Officer and became Group Financial Planning Officer in 1996. He was then successively<br />
appointed Group Controller General (2000), Executive Deputy Chief Financial Officer (2002) and Chief Financial Officer (January 2003). In March 2005, he became Member of the Management Board, in charge of Finance.</p>
<p>In 2006, Jacques Stern was appointed Chief Financial Officer, Executive Vice President in charge of Purchasing and Information Systems and Member of the Executive Committee.</p>
<p>Since September 1, 2008, he has also been in charge of Group Strategy and Hotel Business Development.<strong>[/private]</strong></p>

<p>Mr. Henry, a UK citizen, joined Shell in 1982 as an engineer at a UK refinery. After qualifying as a member of the Chartered Institute of Management Accountants in 1989, he has held a number of senior finance positions in Europe, the Middle East and Asia Pacific.<strong>[/private]</strong></p>
